摘要
企业重组本质上是由竞争机制推动的企业产权的自由交易行为 ,涉及到对存量资产的重新优化配置。产权制度和以公司法人制度为主体的现代企业制度是企业重组的内在基础性制度 ,市场制度和政策法律制度是企业重组的外在保证性环境制度。当前我国企业重组的顺利实现 ,有赖于在国企改制过程中逐步建立和完善现代企业制度、市场制度和政策法律环境制度 ,这是一个与社会主义市场经济体制的建立相一致的较长过程。
The paper is based on the recognition that 'institution is an endogenous variable of efficiency'. The main idea is to analyze the general institutional factors that influence the restructures of enterprises. Connected with the special background of institutional supplies in china, the aim lies in giving the institutional arrangements for promoting the market-oriented corporate restructure.
