论外资并购上市公司开启新阶段

The New Stage of Initiation of Annexation of the Stock-change Companies through Foreign Capitals

中国加入WTO后 ,资本市场面临着逐步开放 ,伴随着海外直接投资的显著增加 ,通过并购国内上市公司进入中国市场将成为外资的另一种主要投资方式。本文着重讨论该种外资并购产生的动因、表象、预期特征及不利影响。

China's WTO Entry requires gradual opening of capital market.On the one hand, foreign direct investment will increase re markably;On the other hand;to enter our domestic market by merging and acqusiting Chinese listed companies will become a primary form of foreign capital investment.In this paper,the driving forces,phenomena,prospective characters and possible damage to China economy of this foreign capital investment form will be discussed.Furthermore,reasonable strategies and policies that might be taken are proposed.
