Necessity and Possibility of Introducing the System of "Independent Director" to China

本文分析了独立董事制度的作用机理、功效 ,并针对我国公司治理结构中存在的问题 ,论述了我国引进独立董事制度的必要性 ;通过独立董事制度基础理论的探讨及独立董事与监事会功能的整合 ,论证了我国引进独立董事制度的可能性。

This paper first analyses how the system of 'Independent Director' functions and then discusses the problems in the administration of companies in China. It goes further to expound the necessity and the possibility of introducing this system to China and some proposals are also offered.
