摘要
石油物探是中国石油天然气集团公司(CNPC)非上市部分(存续企业)做专、做强的主营业务之一,而石油物探企业是CNPC“走出去”战略的主要实施者之一。目前CNPC的物探人才虽然整体上力量较强,但由于高度分散,难于形成拳头优势,石油物探企业的管理体制、企业结构和管理水平也难以适应市场全球化的挑战,因此必须进行股份制改造和重组,以提高在市场全球化形势下的生存能力、竞争能力和抗风险能力。进行石油物探股份制重组,有利于转换经营机制,有利于发挥集团公司的整体优势、实现资源的优化配置,有利于提高员工素质和丰富市场化运作经验,为真正成为国际化的石油地球物理服务公司奠定坚实的基础。在重组过程中,应注意严格界定产权,认真做好辅助业务和富余职工的分离工作,正确处理好股份公司与各投资主体之间的关系,正确处理重组、发展和稳定的关系。
Petroleum geophysical exploration is one of main operation activities of the non-listed part of CNPC. The petroleum geophysical enterprises are one of the primary agents in implementing the 'going abroad strategy' of CNPC. As such, these enterprises should collectively become a specialized and powerful group. Currently, the geophysical staff of CNPC are highly qualified as a whole, but they are scattered throughout the country. Thus, it is difficult to efficiently use this expertise. In addition, the administration system, organizational structure, and management of these enterprises are also not presently prepared for the challenge of market globalization. Therefore, it is necessary to restructure these enterprises into a stock company so as to improve management and to optimize utilization of resources. In the restructuring process it is needed to identify the equity ownership, eliminate redundant personnel and auxiliary departments, and to correctly define the appropriate relationship between oil companies and investors.
