中国风险投资必须在采取的组织制度中体现有关风险投资的权利与义务 ,明确交易各方在交易过程中的地位 ,明确风险、费用的承担。中国风险投资存在较多的问题 ,要解决这些问题 ,应该建立风险投资政策保障体系、建立和完善中国风险投资市场运作机制、开通从中国风险投资市场的资金来源渠道 。

This article focuses on discussing the characteristics of organizational system of venture capital market in China from the general principle of economics. It points out that China must embody rights and duties of venture capital in the organizational system being taken, define the positions of trading parties in transaction process and the undertaking of risk and fees. It also gives some feasibility suggestion to the chief organizational form the venture capital in China can probably take. Meanwhile, this article also describes the current situation of venture capital market in China and points out from a variety of aspects the major problems existing in venture capital of China. On the above bases, the imagination of operation mechanism of China's venture capital is specifically stated.,such as the aspect of channels of fund resources , government's direct participation in venture capital, the process of using risk funds and the withdraw mechanism of venture capital.Thus some practical policies and suggestions can be put forward.
