The Foundation of Legal Institution for Technological Innovation:Theory and Framework

技术创新过程具有信息不对称、风险不确定以及高昂的交易成本等特点,其发生无法脱离法律制度安排。而长期以来,学者们虽认同技术创新过程中法律的重要作用,但对其作用机理和效果存在较大争议,这也导致了该领域研究框架和范式的缺乏。考察法律制度在技术创新中的作用,回顾法律制度影响技术创新的基础理论,从知识积累与扩散、资本积累与金融安排以及劳动者创新激励三个方面考察了法律制度影响技术创新的途径,并提出未来研究方向。

Technological Innovation is a process of asymmetric information, uncertainty and high transac- tion cost, therefore, its occurrence depends on legal institution. For a long time, although scholars agree with the importance of legal institution in innovation process, its mechanism and effects remain to be a con- troversy, which also leads to a lack of research framework and paradigm. This paper examines the role of le- gal institution in innovation, reviews the basic theory of legal foundation in innovation, explores how legal in- stitution affects innovation from the perspective of the accumulation and diffusion of knowledge, capital accu- mulation and financial arrangements as well as incentives to innovate workers, and then proposes future re- search directions.
