Market Development Issues and Mechanism Innovation Path of Professional Managers in China

摘要 职业经理人是在我国市场经济逐步发展过程中借鉴国外的企业经营管理经验而引进的一个很重要的管理理念,目前在我国虽然已经取得长足的发展,但是我国公司治理结构的缺陷使职业经理人市场建设无法快速稳健发展,信息不对称导致公司实际控制人和职业经理人缺乏相互信任,不完善的价值评判体系缺少公正评价职业经理人业绩。本文试图从我国职业经理人与企业的矛盾及形成原因分析,结合我国职业经理人存在的问题,提出从完善公司治理结构、健全产权制度、减少委托代理成本、有效的高管激励和约束机制几方面建设良性的我国职业经理人市场制度和机制创新。 Professional managers structure is a very important management philosophy learned from foreign experience of the operation and management of enterprises in the gradually developing process of China's market economy. Although the development of professional managers has made great progress in China at present, the defects of corporate governance structure in China restrict the rapid and steady development of the professional manager market. Information asymmetry causes the lack of mutual trust between actual control and professional managers. At the meantime, the imperfect of value justice system also cannot effectively resolve the performance evaluation of professional managers. This paper attempts to analyze the forming causes of conflicts between professional managers and enterprises, combined with problems of professional managers in China, and offer suggestions and recommendations about constructing and innovating market system of professional managers in China that raised from improving corporate governance structure, improving the system of property rights, reducing agency costs, effective executive incentive and restraint mechanisms.
