摘要
基于在哈国从事具体法律管理的实践经验,从劳动管理、财税融资、商务问题、国家优先权方面,分析对中资公司具有共性的重要法律风险源头及影响,提出方案对策。为有效防控法律风险,中资企业法律顾问应熟悉主要相关法条,实时监控哈国法律变化;对企业高风险业务要全程参与,严格把关并做好预案;一旦发生风险事件,应主动补救,减少损失,并认真总结经验教训为后续项目的顶层设计提供参考。
On the basis of specific common legal management, labor management, taxation, financing, and business issues and national priorities faced by Sino-Kazak joint ventures and wholly Chinese owned corporations(both hereinafter referred to as Chinese enterprises) established in Kazakhstan, the essential legal risks and impacts in the establishment and operation of local Chinese enterprises are analyzed, giving reasons and offering solutions. For effective prevention and control of legal risk, corporate counsel should be retained who are familiar with the applicable statutes, and Kazakh legal changes should be monitored real-time; enterprises' high-risk businesses require full participation, strict checks and advance preparation; once a risk event occurs, immediate initiative should be taken to remedy it and reduce losses, and experience should be conscientiously summed up and top-level follow-up lesson projects should be designed for reference.
