摘要
公司章程对公司法规定的排除适用,具体包括无关股权的制度设计、初始章程制定与股权问题、后续章程修正与股权问题等三种类型。在具体实务操作中,要注意恪守公司章程、不与法律产生冲突、不对抗善意第三人、尊重股东平等地位、合理创新而杜绝滥用等重要原则,以扬其长而补其短。
Addressing the exclusion clauses, it is beyond compliance pursuant to the conditions set forth in the company law. The company’s articles of association can make “exceptional” arrangements or regulations,including the non-stock-right-related system design, initial charter & equity, and charter amendment & equity. In practice, attentions must be paid to the following principles, such as, being subjected to the articles of association and national laws & regulations , not confronting the innocent third party, respecting shareholders′ equality, encouraging innovation and prevent abusing these clauses.
