摘要
由于外部治理机制的弱化,日本公司治理结构呈现出明显的内部化特征,一系列内部治理机制和内部化的外部治理机制构成了战后日本公司治理模式的基础。而在这一制度变迁过程中,集团主义文化产生了极强的规制作用,使战后日本公司治理结构展现出强烈而鲜明的民族文化色彩。集团主义文化影响下的日本公司治理结构的内部化制度变迁对中国的公司治理改革与完善提供了重要启示借鉴。
Due to the deficiency of external governance mechanism in Japan, the structure of corporate govern- ante in Japan turned out an obvious feature of internalization, and a series of internal governance mechanism as well as internalization of external governance mechanism formed the foundation of corporate governance mode in postwar Japan. In the process of internalizing institutional change, collectivism culture played a strong regulatory role, which makes the structure of corporate governance exhibit strong and clear characteristics of national culture. Collectivism culture and change of institution internalization of corporate governance in Japan provide valuable enlightenments for China.
