摘要
《物权法》第191条抵押物转让规则,仅关注担保安全,而忽视了交易安全,从而造成了与合同效力规则、登记对抗主义及动产占有公信力的相互冲突。通过对限制转让模式与自由转让模式的系统比较,表明了自由转让模式更加可取。面对理想与现实的博弈,应通过司法解释完善限制转让规则,解决既有规则间相互冲突的迫切问题;未来立法则应构建以抵押权追及力为中心,辅之代为清偿、代价清偿、抵押权消灭请求权的自由转让制度,以终极解决问题。
Article 1 91 of Property Law emphasizes the security of guarantee,ignores the security of transactions.It is in contradiction with the contract rules,registration antagonism,the credibility of possession.The comparison of unlimited transactions rules and limited transactions rules,shows that unlimited transactions rule is more reasonable.In face with the reality,firstly,we must amend limit-ed transactions rules to eliminate the contradiction;finally future legislation must adopt unlimited transactions rules,by which mortgagee can perform his rights to the third party,the third party has the rights to pay off debt to wash away the burden of mortgage in price of the request of mortgagee, to request to mortgagee for washing away the burden of mortgage in some price.
