论身份混同背景下我国外资并购中国家安全审查机构的完善

On the Perfection of the State Security Investigation Institution in Foreign Investment Merging Process against a Background of Mixed Identity

我国现有的外资并购中的国家安全审查机构的设置主要是站在资本输入大国的立场设计的,没有考虑到我国既是"引进来战略"下的资本输入大国,又是"走出去战略"下的资本输出大国的混同身份,在机构的组成、性质、职责、决策机制、监督机制等方面都存在不足。借鉴国外较成熟的经验,考虑身份混同对审查机构设置的新要求,我国的审查机构应从五大方面予以完善。

The setting up of the State Security Investigation Institution in foreign investment merging process is designed from the stand of a capital-input state, neglecting the fact of the mixed identity of China as a capital-input state under＂bringing in strategy＂and a capital-output state under＂going out strategy, which leads to imperfection concerning the composition, nature, duty, decisive mechanism, supervision mechanism of the institution. Based on foreign mature experience as well as the new requirement of mixed identity on the investigation institution, five aspects should be perfected of the institution.
