A Research on the Supervision Legal System of SME Private Placement Bond

中小企业私募债券业务是解决中小企业融资难的一条新路径。中小企业私募债券市场存在着监管制度位阶过低、市场准入标准过高、投资者利益保护力度不足及应对市场风险措施不健全等方面的问题。应从市场准入、市场运行和市场退出三个层面,分别构建中小企业私募法律监管制度。

The financing difficulty of SME is a necessary but must-be-solved proposition, the implementation of SME private placement bond business is to provide a new way to solve this problem. Overall, market of SME private placement bond in China is currently running well. However, in the system level, there are still some problems, such as that the supervision system level is too low, the market access standard is too high, the effort of protecting investors＇ interests is inadequate, the measures of responding to market risk are not perfect and so on. In order to respond to these problems, we should build a legal system of supervision in SME private place- ment bond. After clarifying the relationship among all levels of supervision system and clearing regulatory prin- ciple and regulatory body, we can construct corresponding legal regulatory system from three aspects including market access, market operation and market exit.
