农民专业合作社法人治理结构的冲突与优化

我国农民专业合作社法人治理结构的制度设计是社员大会、理事会和监事会制度。而合作社在运行过程中却表现出制度设计与实际运作的冲突问题,诸如合作社法人治理结构的法律直接配置与社员协议配置的冲突,社员民主决策和少数人控制的冲突,社员民主监督与监督形式主义的冲突等。因此,需要合理配置合作社的机关及权力,将"能人治社"与民主管理相结合,并建立行之有效的监督制约机制,以优化农民专业合作社的法人治理结构。
