摘要
我国农民专业合作社法人治理结构的制度设计是社员大会、理事会和监事会制度。而合作社在运行过程中却表现出制度设计与实际运作的冲突问题,诸如合作社法人治理结构的法律直接配置与社员协议配置的冲突,社员民主决策和少数人控制的冲突,社员民主监督与监督形式主义的冲突等。因此,需要合理配置合作社的机关及权力,将"能人治社"与民主管理相结合,并建立行之有效的监督制约机制,以优化农民专业合作社的法人治理结构。
The system arrangement of the administration structure of our country farmers' professional cooperatives legal person is members meeting,board of directors and the board of supervisors. There exists conflict between the practice and theory in the operation of cooperatives: the conflict between legal direct configuration of cooperatives legal person administration structure and members' agreement configuration; the conflict between democratic decision- making by members and control by minoroty people; the conflict between member's democratic control and the specialized management; the conflict between member's democratic supervision and monitoring formalism.Rationally allocating authority and the powers of the cooperatives,combine the able men to manage the cooperatives with the democratic management,establish the effective supervision mechanisms,to optimization the cooperation corporate governance structure.
