摘要
"同股同权"并非保护公众投资者最高原则,只是手段之一。资本市场应从自身实际情况出发,选择是否坚持"同股同权"原则。当下,创新型公司不断涌现,而香港资本市场具备市场基础、法治环境条件,应适当探索允许创新型公司"同股不同权",做好制度顶层设计。
The principle of Same Share with Same Right is the basic principle in the capital market,but it is not the paramount rule but one of rules to protect the public investors. One of capital markets should choose to adapt to this rule on the basis of its situation itself. To some extent,the Hongkong capital should carry out the policy of the principle of same share with different right for the innovative companies
