摘要
本文选择我国电子信息行业的38家上市公司作为研究对象,以股权结构、董事会治理、高级管理人员薪酬为视角研究公司内部治理结构,运用SPSS19.0统计软件对样本数据进行因子分析和逐步回归分析。实证研究结果表明:股权集中度是影响电子信息企业竞争力的关键因素;而股权制衡、董事会规模、两职兼任、独立董事制度、高管的股权及薪酬激励都没有发挥明显的作用。最后,提出电子信息企业提高自身竞争力的对策建议。
Electronic information industry is a basic, guiding and strategic emerging industry, which plays a decisive role in the national economy. This paper takes 38 companies from electronic information industry of China as the object to study; carries out the research of internal governance structure of companies from the perspective of equity structure, board governance, and senior managers' remuneration. After the factor analysis and regression analysis to the sample data by SPSS19.0 statistical software, this paper finds that, to a company, equity concentration is the key factor which influence the competition of electronic information enterprise; and the equity control, the board size, a mechanism that the president and the general manager on one person, the independent board of director, equity and salary incentive for senior managers don't have obvious effect. So, this paper conclude that an electronic information enterprise need to improve the corporate governance structure constantly to enhance its competition.
