摘要
家族企业的传承问题是关系到家族企业兴衰的大事。中国家族企业第一代创业者如何把企业平稳地转交给后代接班人,并能继续发展,已是一个迫切需要解决的现实问题。家族传承涉及企业资产所有权和控制权的传接,涉及所有权和经营权的掌控,多数家族企业仍牢牢地将股权与经营权掌握在自家手中。所有权和经营权分离的模式虽然对企业发展有利但推动范围不大。本文立足目前中国特定的文化环境和市场环境,分析了两权分离体制推进缓慢效率低下的原因,以及对如何推进两权分离体制的改革进行了充分探讨。
The inheritance of family business is a big event which is related to the rise and fall of family business.It is becoming an urgent practical problem to address family business to quietly turn over the control of the business successfully from founders to inheritors and continue family business. Family inheritance is related to the ownership and control rights of succession,which also involves the ownership and management rights of control.Most Chinese family businessos are still holding the stock and management rights in their hands. Although the mode of separation of the ownership and management rights has its advantages to the development of enterprise,but it promoted this business so fast. This paper based itself in Chinese specific cultural environment and marking environment of the present stage,and objectively analyzed the reasons for slow movement and inefficiency of the two rights separation system,as well as fully explored the innovation.
