合资铁路公司内部治理机制的实践与思考

Practice and Thoughts on Internal Management Mechanism of Joint Venture Railway Company

规范完善合资铁路的公司治理机制,对于更广泛地吸引地方政府和社会资本参与铁路建设具有至关重要的作用。以杭黄铁路有限公司为例,从股权结构、"三会"架构、权责边界等方面,阐述公司内部治理机制发生作用的制度平台和运行机理;从规范完善监督制度、建立利益主体协调机制、建立公司有效的制衡机制等方面,提出股权相对集中情形下完善合资铁路公司内部治理机制的路径。

Standardizing and improving management mechanism of joint venture railway companies are very important for widely absorbing local government and social fund to the railway construction. Taking Hanghuang Railway Ltd. Company as an example, from aspects of equity structure, ＂three boards＂ structure（board of directors, board of supervisors and party committee meeting） and the confines of rights and liabilities, this paper expounds the system platform and operation mechanism produced by the action of company’s internal management mechanism; and from aspects of standardizing and improving supervision system, establishing coordination mechanism of interest parties and establishing effective balance system in company, the paper puts forward the approach of improving internal management mechanism of joint venture railway company under the relative concentration of equity.
