摘要
基于内部互动视角,将由于个人社会资源不同形成的董事间非正式关系定义为董事会非正式层级,探讨其隐性作用对董事会决策效率及创新绩效的影响。以153家创业板企业2011—2013年数据为样本,实证结果表明:董事会非正式层级清晰度与企业技术创新绩效呈显著的正相关关系。技术独立董事位于非正式最高层级能增强两者正向关系;而技术董事长位于非正式最高层级的负向调节作用不明显;董事会规模变大则会减弱两者正向关系。
Based on the perspective of boardroom interaction, this article defined the informal relationship which was due to different social network and personal resources as board informal hierarchy, and discussed the effects on the decision-making efficiency and innovation performance. By using sample data of 153 listed companies on GEM from 2011 to 2013, the empirical results showed that the clarity of board informal hierarchy was significantly and positively associated with technological innovation performance; and technical independent director in the informal highest-level could enhance the positive influence, while the technical chairman of informal highest-level did not show obvious negative influence on it; and the bigger board size would weaken the positive relationship.
