Rethinking the Single Economic Entity Doctrine in the Extraterritoriality Applying of European Competition Law

我国学术界往往将在欧共体使用的经济统一体理论视为英美公司法中"刺穿公司面纱"传统原理的具体运用。通过案例分析经济统一体原则的形成与变化,经济统一体论与揭开法人面纱原则之间的差异昭然可见。欧洲竞争法的经济统一体原则带有浓厚的自身历史,甚至较诸英国公司法经济统一体论的实践更激进。学术界所忽视的经济统一体原则的缺陷可以从形式逻辑角度、法理学角度、司法实践角度加以分析。这对我国反垄断法域外效力制度完善提高不无有益的借鉴。

The single economic entity theory in the European Community is often regarded by Chinese academia as the concrete application of the traditional doctrine of ＂piercing the corporate veil＂in the Anglo-American company law. Through case study on the formation and change of the single economic entity doctrine,the differences between the piercing the corporate veil and the single economic entity doctrine is clarified. The single economic entity doctrine in European competition law bears with its strong history characters,and is even more radical than the single economic entity theory in the practice of the United Kingdom Companies Act. The defects of the single economic entity doctrine ignored by scholarship is set forth from the perspective of formal logic,jurisprudence,judicial practice analysis,in order to provide useful lessons for improving and perfecting the extraterritoriality applying system in China＇s Anti-Monopoly Law.
