资本制度变革视角下债权人保护机制探究

Creditor Protection Mechnism under the Scope of Capital System Reform

注册资本认缴制是我国公司资本制度的一项重大变革,新的资本制度下债权人利益的保护问题越来越重要.本文以资本制度改革对债权人利益影响为视角,就认缴资本制下如何进一步保障和完善公司债权人的利益问题进行了研究,提出了建立持续有效的法人资产信息公开制度、加强公司信用体系建设、完善公司法人人格否认机制、完善公司催缴机制等措施,旨在更好地保护债权人的利益.

Registered capital subscribed registration system is a major reform of corporate capital system in China .Under the new system , the protection of creditors ’ interests has been more and more important .This pa-per, setting the focus on the effects of capital system reform on protection of creditors ’ interests, discusses on the issue of how to guarantee the rights of the company ’ s creditors , proposes such measures：construction of an sustain-able and effective corporate asset information disclosure system;strengthening the company ’ s credit system;expan-sion of disregard of corporate personality mechanism;improving credit collection measures .These measures are in-tended to enhance the protection of creditors ’ interests .
