摘要
劳动者通过股权激励计划获得企业股份成为股东后,与企业之间由单一的劳动关系转变为劳动关系与"股东—公司"关系并存。以近两年引发资本市场和社会各界高度关注的富安娜股权收益纠纷案为切入点,通过研究股权激励计划中被激励的劳动者与企业间关系的变化,探讨劳动者身份与股东身份的转换,分析劳动关系和"股东—公司"关系产生的基础,明确两种关系间的联系与区别,进而指出在实施股权激励计划时容易触及的劳动法雷区,并提出合法实施股权激励计划、切实保障劳动者权益的建议。
Through the stock option incentive plan, the employees become the shareholders of the company. In this way,there is not only a labor relation between them and their company; they are now part of the shareholders. Based on the FUANNA "dispute of return on equity" case which causes high attention between the capital market and the social public, this research studies the change of the relationship between the employer and the employee, discusses the transformation from employee to shareholder, analyzes the different base of labor relation and shareholder-company relation. By clarifying the connection and the difference between this two kinds of relation, we conclude that the labor law may be infringed in the stock option incentive plan. Finally, we put forward some suggestions for labor right protection in stock option incentive plan.
