摘要
授权管理是企业治理结构的核心内容之一,是企业正常有效运转的关键要素。但在实践中,企业能够建立系统全面的授权体系,并进行科学合理的授权并不多见,因此授权效果并不是很理想。本文针对上述现象,结合作者多年的授权管理经验,对授权的理论基础做了初步分析,对授权的渊源和结构进行了法理探究,在总结授权管理的认识误区并进行成因分析的基础上,结合公司实际就一些授权难点提出了相关的意见和建议,旨在完善授权管理体制和机制,进一步提升授权管理的成效。
Authorization management is one of the core of corporate governance structure, and it is the key elements for enterprise functioning. But in practice, it is difficult to find that enterprises can establish a comprehensive authorization system, and make scientific and rational authorization, so the authorization effect is not very satisfied.Focusing on these problems, the author of this paper analyzed thoroughly to theoretical basis of authorization based on the authorization management experience for many years, so as to explore the origin and structure of the authorization from a legal point of view. On the basis of studying the misunderstanding and the cause analysis of authorization management, combining the difficulties of company authorization, the author put forward some opinions and suggestions to improve the authorization management system and mechanism, further enhance the effectiveness of the authorization management.
