不同资本制度背景下公司监管与利益相关者保护问题探析——基于债权人利益保护维度

Analysis on the Problems of Company Supervision and Stakeholder Protection in Different Capital System——Based on the Protection of the Interests of Creditors Dimension

注册资本缓和立法需要建立配套的公司监管机制,以保护公司利益相关者的合法权益。不同资本制度对利益相关者保护机制,特别是债权人利益保护各不相同。本文分析了法定资本制、授权资本制、折衷资本制下的利益相关者保护机制。其中折中资本制国家通过降低资本最低限额、允许分期缴纳、缓和减资程序、追究出资人责任等,较好地兼顾了公司利益相关者的合法权益,这也是我国公司资本制度的发展方向。

The registered capital has been relaxed.This requires the matching company supervison mechanism in order to protect the legal rights and interests of the corporate stakeholders.Different capital systems are different mechanisms to the protection of stakeholders especially in the protection of creditors.This paper analyzes the stakeholder protection under the background of the legal capital system,the authorized capital system and the compromise capital system.The compromise capital system is a better balance among the legal rights and interests of stakeholders by reducing the minimum capital requirement,allowing the installment payment,moderating reduction program,investigating for sponsor＆#39;s legal responsibility etc.This will be the development direction of company capital system in China.
