摘要
委托实施机制对于促进和保障经营者集中救济措施的贯彻落实具有不可替代的功用,兼具公共实施与私人实施的双重特征和比较优势,颇受各国竞争执法当局的青睐。依其权限内容,接受委托的独立第三方有经营受托人、监督受托人、剥离受托人等类型之分。作为其法律关系基础的"委托合同",具有民事委托的外观、公共权力委托的效用、民事涉他合同的性质。我国应从受托人的遴选公开、工作期间、义务责任等方面,对现有相关立法进行改进。
The trust mechanism, possessing both the characteristics and comparative advanta- ges of public and private enforcement, plays an irreplaceable role in promoting and protecting the enforcement of merger remedies, and is so welcome by law enforcement authorities of competi- tion all over the world. According to their rights, the independent third parties entrusted can be divided into operating trustees, monitoring trustees, divestiture trustees, etc. As the legal rela- tionship foundation of said mechanism, mandate contracts have an appearance of civil mandate and functions of public power mandate, and a nature of civil contract related with a third person. China^s relevant legislation should be improved through the aspects of the trustees~ nomination, working duration, duties and liabilities, etc.
