近十年来证券非公开发行制度逐渐在中国特色社会主义市场经济下发挥出更大的作用,而其发行成本低、发行周期短、发行难度小、信息披露较为宽松等优势也使得其具有更大的发展潜力。本文旨在通过对我国证券非公开发行法律制度方面存在的问题进行分析,为相关法律制度建设从学术角度提出完善建议,以促进中国特色社会主义市场经济下我国相关法制的建设与发展。

In recent ten years, private placement security system gradually plays a bigger role in the socialist mar ket economy with Chinese characteristics. Advantages of securities offerings make it have greater development potential, such as low cost, short cycle, less difficulties and easier to get information. By analyzing the problems of legal system in private placement securities, this paper aims to put forward a sound proposal academically in order to promote the construction and development of legal system under the socialist market economy with Chi nese characteristics.
