摘要
本文主要探讨公众参与与媒体监督在国有企业外部治理中的作用。国有企业产权的全民性决定了社会公众理应成为国有企业的治理参与者。作为三权分立之外的"第四种权力",媒体以公共利益代表者和弱势群体发言人的身份,通过对国有企业的调查和报道,努力向政府以及社会公众传递国有企业的相关信息,并以公平合理的价值判断标准,对国有企业治理提出建议。然而这两种方式在公司治理取得一定成效的同时,也存在着缺陷,媒体监督与公众参与需要得到政府的回应与参与才能形成治理效果。
This paper discussed the role that the public participation and media supervision play in the external governance of SOEs. The fact that SOEs' property rights belong to the whole people means the public is supposed to be the SOEs' governance participants. Media, usually called ‘the Fourth Power'and take the represent of public interests and vulnerable group, shoulders the responsibility of delivering SOEs' information to the government and public by investigation and report. And it has the responsibility of offering proposal and suggestions with a fair and reasonable judgement standard. While we have to admit that the two external ways have their deficiency. That means only with government response and participation that media supervision and public participation result in governance affects.
