"长期合同"并不是一个专业的法律术语,也没有学者对其进行一个明确的内涵界定。但交易实践中出现了许多有关"长期合同"的专门性问题,如专用性投资后的"敲竹杠"问题、架构合同的问题以及情势变更后的双方调解不能的问题等。通过比较研究的方法,对长期合同各个阶段的特殊性问题进行分析,揭示长期合同的本质特征,并对我国长期合同中存在的一些特殊问题的解决提出可行性建议。
