在融资租赁交易中,出租人为确保其租金债权实现,有时会要求出卖人或第三人提供回购担保,要求承租人支付租赁保证金,作为回购担保人的出卖人或第三人支付回购保证金;出卖人有时还会向出租人支付租赁合作保证金。回购担保为非典型人的担保,其法律适用,应遵循其合同自由原则,并类推适用法律最类似的规定。租赁保证金、回购保证金、租赁合作保证金支付依据和功能不尽相同。这决定了在计算租赁物回购物价格时它们能否用来抵扣租赁物回购物价格及抵扣的依据。
In finance lease transactions, in order to ensure their claim of rent, the lessor sometimes may require the seller or a third party to offer a Repo, require the lessee to pay deposit, require the seller or the third party to pay deposit for Repo. Whereas the seller sometimes may pay deposit to the lessor in order to ensure their cooperation. Repo is an atypical personal security, so its legal application should follow the principle of contract freedom, and refer to the law that is most related. The reason and function of deposit from lease, deposit from Repo, and deposit from cooperation are different, which determines whether they can be used to offset the Repo price, or as the deductible basis when calculating the Repo price.
