On the Causes for the Dependence of Independent Director in China and System Perfection

独立董事制度对公司治理规范化有重要的作用。文章通过对上市公司独立董事制度实施以来存在问题进行研究,分析了我国独立董事"不独立"的现象和制度的缺陷,提出了完善独立董事制度的建议。

Independent director system plays an import role in the standardized management of companies. This paper makes a research into the problems existing after the implementation of independent director system for public companies and makes an analy-sis of the phenomena of the dependence independent directors and the imperfection of the system in our country. Finally, it puts for-ward some proposals for the perfection of independent director system.
