摘要
实证表明,双创公司易发僵局,主要根源于此类公司的人合性。工商行政应该倡导制订僵局条款以预防僵局;僵局处理,要遵循私力救济优先、慎用解散、利益均衡的原则;要充分利用公司的人合性属性,更多地使用调解方式处理僵局;建议立法赋予不足10%股东转让诉权,界定"严重困难"、"重大损失"的司法标准,取消"通过其他途径不能解决"的前置程序,确立法院指定临时管理人的权力,为双创提供司法保障。
The empirical results show that the deadlock of the small limited corporate is mainly rooted in the combination of human nature of the corporate. Advocating deadlock clause in the for- mulation, can prevent deadlock;dealing with the deadlock should take account of the corporate, shareholders and the interests of society ; basing on the combination of human nature of the corporate, we need more use of mediation to handle the corporation deadlock; giving less than 10% of the shareholders the right of transfer just claim, defining the justice standard of the" serious difficulties" and" significant loss", canceling the pre-procedure of "by other means can not solve" to establish the court power of appointing provisional trustee, and to remove obstacles in the judicial process, for pav- ing the way to the public entrepreneurship and innovation.
