在当前经济不景气，股市风险过大的情况下，大力发展可转换债券是筹资者和投资者的共同愿望。从筹资者、投资者、政府、三方的角度出发分析可转换债券发展动因。并就目前我国发展可转换债券存在的制约因素，进行了分析，提出了建议。

Developing convertible bond in the joint aspiration of investors and demanders of funds under present conditions that economy is in depression and there are as many serious risks as in the stock market. This dissertation analyses the motivation in three different aspects: demanders of funds, investors arid government. and then the unfavorable factors existing in the development of convertible bond and finalhy propose the corresponding measures.
