摘要
跨国并购有助于并购方获得竞争要素、延伸产业链条、提升管理水平、破除行业壁垒。人力资源整合风险成为企业跨国并购的重要风险来源,也是决定企业跨国并购成败的关键决定因素。从风险规避的角度看,跨国并购人力资源整合应从完善并购前尽职调查机制、开展文化一致性评估机制、建立管理层相对稳定机制、配套文化融合性教育机制、形成并购方持续改进机制、加强跨国型人才培育机制等方面建立风险规避机制。
The cross-border mergers and acquisition could help the merger to achieve the goal of getting the competence element, extension of the industry chain, enhancement of the management level and explosion of the industry barrier. The human resources integration risk is an important risk source of the cross-border mergers and acquisition and which would determinate the success of the cross-border mergers and acquisition. From the perspective of the risk evasion the paper presents some countermeasures to avoid the human resources integration risk such as the improvement of the due diligence, the evaluation of the culture consistency, the stability of the enterprise management level, the education of the cultural fusion, the improvement mechanism of the merger and the training of the transnational human talents.
