摘要
中国企业对发达国家企业的海外并购呈现出不同的特点,对文化整合产生了较大的影响。文章首先分析了以往跨文化整合研究中存在的问题,提出中国企业对发达国家企业的并购中表现出的文化逆势这一情境,以及该情境所带来的整合困境。面对这一困境,文章提出了前整合阶段的文化提升,并购后对民族文化的主动适应及对企业文化的渗透—融合这一整合模式,这对文化提升和渗透—融合以及普世商业伦理等方面都提供了明确的方向。
Chinese cross border merger & acquisition over companies in developed countries presents different features, which significantly affects the success of acculturation. In this paper, the shortcomings of previous studies on cross border acculturation models are analyzed. Then the situation of cultural inferiority and the difficulties caused are brought forth in Chinese mergers over companies in developed countries. To deal with the difficulties, an acculturation model is proposed, in which Chinese acquirers should make culture enhancement in pre-acculturation stage and active adaptation to national culture and infiltration-integration to corporate culture in post acquisition stage. In both culture enhancement and culture penetration-integration, universal business ethics provides an explicit direction.
