国有企业监事注意义务的认定标准研究

On Standard of the State-owned Enterprise Supervisor's Care Duty

国有企业监事担任着公司"看门人"的角色,对国有资产的价值保有、董事经营权的正确行使、股东利益的有效保障等事项均负有重要职责。注意义务认定标准的确立能为监事的义务履行程度给予法律评判和道德衡量。但现今的注意义务存在着缺乏认定标准,内容没有具体化的不足。有鉴于此,笔者认为,应当构建监事注意义务的客观标准,参照相关规定专门制定监事的注意义务内容。

The supervisors in state-owned enterprises play the role of gate-keeper in the corporation.They take the important responsibilities of keeping the value of state-owned property, supervising directors exercise their proper franchises strictly, protecting the shareholders＇ interests effectively and so on. Establishing the standard of the care duty can offer the legal judgments and moral measurements to the process of performing the supervisors＇ obligations. However, there is lack of standard in the care duty and specific information is not included in the content. In view of these, this paper suggested that objective standard should be set up and specific articles be formulated according to the relevant laws.
