How to define the relationship between hostile takeover and corporate goverance is the theoretical basis of how to establish target company's anti-takeover system.Analyzing and summarizing the two entirely different theoretical bases that America and Germany adopt,the author points out that we should learn from the England-America Model to found such a theoretical basis in our country.
