摘要
文化差异是影响跨国并购过程与绩效的重要变量,然而对其如何产生影响的了解还很有限。本文的主要目的是识别影响文化差异作用发挥的调节变量及其潜在的作用机制。通过理论分析和解释性案例研究,基于联想-IBM PC、上汽-双龙和明基-西门子手机等三个案例,本文构建了一个新模型,该模型认为文化差异分别通过社会分化和知识互补作用于并购绩效,前者是消极作用,后者是积极作用,而整合程度和整合能力的综合作用决定了它们的发挥程度与最终结果,此外被并购企业的集体主义倾向对于社会整合有独立的影响。
Cultural differences is widely regarded as a very important factor influencing cross-border MA process and performance,but it's unclear to us how it acts.This research aims to identify the moderating variables in the influence mechanism of cultural differences.Based on prior theoretical research and three case studies of Lenovo-IBM PC,SAIC-Ssang Yong Motor and BenQ-Siemens Mobile,a new model is developed in this paper,which posits that cultural differences affect MA performance through social de-integration and knowledge complement,the former in a positive way and the latter in a negative way.The interaction of integration degree and integration capability affects their performance and outcome.In addition,the collectivism of the acquired enterprise has specific influence on social integration.
