中国在海外并购步入黄金期的同时也日益沦为风险肆虐的重灾区,中国企业海外并购风险的识别与评估面临重大拷问。中国企业海外并购所面临的风险,除了企业并购的一般风险特征之外,更具有不同于其他国家的特有风险,是宏观层面的国家风险与微观层面的企业风险相互作用的结果。构建包括宏观(国家)风险和微观(企业)风险在内的中国企业海外并购风险评估体系,引入信息熵权法修正权重,构建出评价中国企业海外并购风险的模型。

Cross-border mergers and acquisitions （M＆As） by Chinese firms have entered a golden period. However, China has also increasingly become the hardest hit by the outbreak risk. The risk identification and evaluation of cross-border M＆As by Chinese firms face major torture. The risk of cross-border M＆As by Chinese firms is very complex. That is to say, it is the interaction between national risk and enterprise risk. Construct the risk evaluation system of Chinese firms＇ cross-border M＆As, including the macro （nation） risk and micro （enterprise） risk. Then introduce information entropy method to correct the weights. A model of evaluating the risk of cross-border M＆As by Chinese firms is constructed.
