Based on the surveys research on corporate governance,this article analyzes the difference of rational actions among stockholders,managers,legislation and enforcement.The co- operation of the differential rational actions is the key factor in determining the model of corporate governance..The conclusion is that the rational actions of stockholders and the protection of the benefit of stockholders are important.
