我国公共图书馆法人治理工作探析--以上海图书馆理事会运行实践为例

Analysis on Corporate Governance of Public Library in China——Taking Operation Practice of the Board of Trustees in Shanghai Library as an Example

上海图书馆理事会于2014年10月正式成立,是上海图书馆的决策咨询与监督管理机构,负责对图书馆发展战略、规划、重大的发展项目和改革举措提出意见和建议,并监督图书馆的国有资产管理等。理事由政府部门代表、社会人士代表和图书馆代表组成。理事采用委任制,由市委宣传部履行任免程序。理事会不直接参与图书馆管理和干预图书馆日常事务,理事会会议是其行使议事权和决策权的重要方式。强化理事会决策作用的发挥、推进法人治理结构制度建设、加强理事会自身能力建设、注重理事会工作的社会宣传是保障理事会制度有效运行的重要方式。

The board of trustees in Shanghai Library was formally establish ed in october 2014, it is the Shanghai Library＇s decision-making consultation, supervision and management organization. It＇s responsible for the unit development strategy, planning, major development projects and reform measures to put forward opinions and suggestions, supervision of state- owned assets management, and so on. Trustees are composed of representatives of the government departments, representatives of the society and the library on behalf of the three aspects, appointed by the Party Committee Propaganda Department which fulfills the procedures for appointment and removal. The board of trustees does not directly participate in the library management and intervente in the daily affairs of the library, the meeting of the board of trustees is an important way to exercise the right of procedure and decision-making.The important way to guarantee the effective operation of the board of trustees is to strengthen the effect of decision making, promote the construction of corporate governanc structure, strengthen self ability construction, and pay attention to social propaganda.
