我国股权众筹发展及监管路径研究

Research on the Development and Monitoring Route of Equity-based Crowdfunding in China

股权众筹——小微初创企业的一种新型融资方式,正在互联网时代的今天如火如荼的发展。然而与股权众筹的飞速发展不相匹配的是,当前我国股权众筹的法律监管几乎是一片空白,面临很多法律问题:法律地位不明确、监管主体不清晰、监管路径无从选择。本文通过分析股权众筹的特点和法律本质,厘清股权众筹的监管主体和监管路径,为股权众筹在我国健康发展创造良好的外部环境。

Equity-based crowdfunding a new type of financing for small and micro strat-up enterpris- es, is developing in full swing in the Internet era. However, unmatched with the rapid development of equi- ty-based crowdfunding, the current legal monitoring of equity-based crowdfunding in our country is almost a blank, facing with many legal problems： legal status is not clear, the regulatory body is unclarified, and the regu- latory path cannot be selected. Through analysis on the characteristics and legal essence of equity-based crowd- funding, this paper has clarified the monitoring body and route of equity-based crowdfunding, which creates a good external environment for the heahhv develonment of equity-based crowdfunding in our country.
