公司僵局下股东权益保护的立法审视与完善

Legislation on the Protection of Shareholders' Rights and Interests in the Company's Deadlock

公司僵局在实践中屡屡出现,给公司、股东和社会带来了很大的危害。我国法律为解决公司僵局,为在公司僵局下保护公司、股东及其他利益相关者的利益,维护社会公益提供了救济手段,然而也并非没有缺陷。通过典型案例分析,我们发现法院依法作出的判决并不符合人们的期待,不能很好地保护公司股东的权益。在此基础上,文章借鉴欧美国家的经验,对于完善公司僵局的救济之道提出一些建议,希望能给司法实践提供一些借鉴。

Company＇s deadlock seriously endangers the interests of the company itself and shareholders and will bring a series of social problems. Our legal system has made many efforts to solve the problem and maintains social welfare,but there are many defects. The author analyzes a typical case firstly to show that the legal decision does not comply with the people＇s expectations,which is not very good to protect the interests of shareholders of the company. Secondly,the article draws on the experience of European and American countries,and puts forward some suggestions for improving the relief way of the company deadlock. The author hopes that the article can provide some reference to the judicial practice.
