中国互联网企业美国借壳上市的研究

改革开放以来,越来越多的中国互联网行业企业家将目光转向美国资本市场,通常选择美国OTCBB市场借壳上市,这一全新的上市方式引发了中国企业海外上市的热潮。其中不乏成功的典范,但更多的是盲目借壳,走向失败。那么,美国OTCBB市场究竟是否适合中国互联网企业成功上市,企业又应该为借壳上市做什么准备。本文希望借助借壳上市的理论研究解决这一问题,并提出中国互联网企业建立一套在美国成功借壳上市的思路。

After the reform and opening-up, more and more Chinese internet industry entrepreneurs are turning to the U. S. capital markets, listed in the U. S. OTCBB market by the way of reverse merge, forming an overseas listing boom. Many of whom are successful model, but there are more blindly backdoor to failure. Is it suitable for Chinese internet companies to list in the U. S.
