摘要
以一个在招标期间人工费定额发生调整的案例为例证,以合同约定、法理依据、事实证据为基础,从政策变化、情势变更、显失公平、重大误解、风险范围等方面对合同的适用性和效力进行剖析,认为人工费定额调整应当遵循"有约定从约定、无约定从法定"的原则,并提出招标人(发包人)、投标人(承包人)在招标投标管理、施工合同管理及履行义务、主张权利等方面的启示及倡导"风险共担"、认真审查合同、及时主张权利、加强过程管理等建议。
By case study of a project which undergoes adjustment of quota labor cost in the bidding stage, based on contract terms, legal basis and factual evidence, this paper analyzes contract validity from aspects of policy change, situation change, obvious unfairness, serious misunderstanding as well as risk scope. It is considered that the adjustment of quota labor cost should obey principal of“agreement comes before statutory provision”. This paper puts forward some suggestions in management of tendering and bidding, construction contract management, and fulfillment of rights and duties for bid inviters and contractors. It implies the importance of risk-sharing, contract review, right claim and process management.
