关于交易习惯的几点思考

Several Thoughts About Transaction Habits

交易习惯作为交易中人们反复使用、普遍接纳的做法,其性质为事实习惯,在民法上具有重要的功能价值。立法者在制定法中宜吸纳合理、合法的交易习惯,使立法更能反映社会需求和交易规律,从而更能得到普遍遵行。在民法典编纂工作已启动的背景下,重提制定法对交易习惯的吸纳有更重要的意义。司法者在实践中也需要重视交易习惯的认定和适用,并根据一般的民事合同、商事合同以及消费者合同的不同特点,适用交易习惯时采取相适宜的对待规则,以更有利于化解纠纷。

As the widely acknowledged and rapidly used methods in the process of transactions,transaction habits should be essentially regarded as de facto habits,which is currently playing an important and valuable role in civil law. The legislator is supposed to absorb and adopt legitimate and reasonable transaction habits in statute law,to make sure that the needs of society and transaction rules can be fully reflected in legislation,and also be generally followed. Bringing up absorbing transaction habits in statute law again is particularly meaningful,especially considering that our country has started the compilation of Civil Law Code. It is necessary for judicial authorities to put emphasis on the identification and application of transaction habits,and design suitable rules to suit the different needs of civil contracts,commercial contracts and consumer contracts respectively,thereby settling disputes effectively.
