摘要
商事登记公信力是保障登记信息真实合法的有效手段,是商事登记公示效力的重要延伸。现代商事登记公信力以国家信用、登记申请人信用、社会中介组织的信用担保、公证效力、外观主义为其存在基础;以商事登记簿为其发生根据,以市场信用机制为信赖保证,具有保障市场安全和提高交易效率的功能,通过公证、公告、更正登记以及救济机制保障其信赖基础与功能发挥。分析商事登记公信力的法律结构,完善相关的制度保障措施,可以为深化商事登记制度的改革提供有益的参考。
The credibility of business registration is not only an effective means of guaranteeing the legality and authenticity of the information registered, but an important extension of publicity effect. This credibility is based on the theory of rights appearance, and guaranteed with the credit of the government, the registration applicant, and the intermediary organization concerned. The credibility is effective on the basis of business register book, trusted for the market credit mechanism, therefore, it performs the function in ensuring market security and improving transaction efficiency. The function and public trust of credibility are demonstrated by notarial certificates, notices, registration corrections, and relief mechanism. To deepen the reform of business registration system, it is imperative to analyzes the legal structure of business registration credibility and improve the relevant institutional safeguards.
