国家安全审查制度中的外国投资者识别——兼评《外国投资法(草案征求意见稿)》

Identification of Foreign Investors in China's National Security Review System:with a comment on the Draft Foreign Investment Law

国家安全审查制度的复杂性迫切要求我国建立一套更为完整和实用的规制制度。在该制度框架内,识别外国投资者显得尤为重要,这是因为它不仅有利于向外国投资者明确申报义务,同时也方便我国外国投资安全审查机构对交易进行审查。我国《外国投资法(草案征求意见稿)》首次建立了外国投资者识别制度。与美国、德国和日本等国家相比,草案中的外国投资者识别制度还有待于进一步改进和提高。

The complexities of national security review urge us to establish a more complete and effective regulatory system.It is of great importance to identify foreign investors within the framework of this regulatory system,not only because it can be helpful to clarify the notification obligation for foreign investors,but also accelerates the review process of foreign investment security by our national security review authority.The Draft Foreign Investment Law establishes for the first time the identification system for foreign investors.Compared with the identification systems for foreign investors in Germany,Japanese and U.S.investment laws and regulations,the Draft Foreign investment Law still needs to be developed and improved.
