法人治理体系下民办普通高校董事会制度研究

Study on the Board of Directors System in Non-governmental Institutions of Higher Learning under Corporate Governance System

在民办普通高校法人治理体系的框架下研究董事会制度,分析民办高校法人治理内涵特征,阐明确立董事会在民办高校法人治理体系中处于支柱地位的理由。在梳理当前民办高校董事会制度建设的基础上,指出现行董事会制度存在法人治理模式单一、董事会制度建设未受重视、董事会权力配置和责任机制欠缺等问题,继而提出完善董事会制度的建议,并指明董事会制度需在非正式制度层面进行深化研究。

This paper studies the board of directors system under the corporate governance framework of non-governmental institu- tions of higher learning and analyzes the connotation features of the corporate governance. It points out the reasons for the estab- lishnmnt of the leading position by the board of directors in the corporate governance system. Based on the analysis of the status quo of the board of directors system on the formal institution level in non-governmental institutions of higher learning, this paper points out the problems in the existing board of directors system, including insufficient corporate governance model, insufficient attention in its development, and lack of power allocation and accountability mechanisms. It then proposes recommendations for improving the board of directors system and emphasizes the need of intensive research on the informal institution level.
