保险公司独立董事制度探析

保险公司核心治理目标是维护广大分散债权人的利益,而提升董事会独立性是实现这一目标的根本途径。作者结合独立董事在保险公司治理中举足轻重的作用,分析了目前独立董事治理存在的不足,指出了独立董事选聘机制的严重缺陷以及产生这些不足的根本原因。文章建议,首先由中国保监会建立保险业独立董事人才库并负责独立董事的提名和选拔,之后逐步设立保险业独立董事协会负责的独立董事选聘机制,并深入分析了这一机制创新的优势所在。

The core target of corporate governance is to maintain the interests of creditors, and to enhance the independence of the board is the fundamental measure to achieve the goal. Based on the key position in corporate governance of independence director, the assay analyzes the problems existing in the independent director governance, and points out that the mechanism of independent directors is the resource of all the problems. The assay suggests to establish a pool of independent directors of insurance industry firstly by the China Insurance Regulatory Commission which is responsible for the nomination and selection of the independent directors.Then the association of independent directors of insurance in- dustry can take charge of the employment of the independent directors. At the same time, the advantages of this mechanism innovation are discussed.
