摘要
《上市公司股权激励管理办法》公布实施后,越来越多的上市公司公布了股权激励计划以更好地将管理者的利益与公司利益联系起来,而在具体的实施过程中,股权激励方案起到何种作用一直是学术界与实务界关注的问题,本文以青岛海尔2006~2014年公布的五次股权激励方案以及同一时期美的公司的三次股权激励方案为例,分析股权激励计划对公司及管理者产生的作用并提出建议,以使股权激励能够更好地在企业发挥作用。
After the implementation of Measures for the Administration of Equity Incentive Plans of listed Companies, there are more and more listed companies announced the equity incentive plan in order to merge the interests of managers and the interests of the company. But in the implementation process,the role of equity incentive plan is the concern of academic and practical circles.This paper takes Qingdao Haier and Midea as the example.Qingdao Haier has released five times equity incentive plan during 2006~2014. And during the same period, Midea has released three equity incentive plans.We analyze the effect of the equity incentive plan on the company and the managers and put forward some suggestions, hoping equity incentive can play a better role in enterprises.
